This Refund & Cancellation Policy ("Refund Policy") forms an integral part of the Terms of Use of the 3pmCIRCLE platform. By using the Platform, you agree to this Refund Policy in full.

1. General Principle

3pmCIRCLE operates as a B2B facilitation platform with an escrow-based payment mechanism. Refunds, cancellations, and reversals are governed strictly by:

• Escrow conditions
• Membership rules
• Transaction milestones
• Indian contract and IT laws

2. Membership Fees (Basic & Premium)

2.1 Basic Membership (Free)

• No payment is collected.
• Hence, no refund applies.

2.2 Premium Membership (Paid – Annual)

No refund shall be provided for:

• Partial usage
• Early termination
• Downgrade to Basic Membership
• Account suspension or termination due to policy violations

This aligns with the "Fees are non-refundable" clause in the Terms of Use.

3. Product Transactions via Escrow

3.1 Before Escrow Release

If payment is still held in escrow, refunds may be considered in the following cases:

• Seller fails to dispatch goods within the agreed timeline
• Seller is unable to supply the agreed quantity or specification
• Mutual cancellation agreed in writing by Buyer and Seller

In such cases:

• Escrow amount may be returned to the Buyer
• Applicable payment gateway, service charges or escrow charges may be deducted

4. Sample Orders (Paid or Free)

4.1 Free Samples

• Free samples are non-refundable
• Shipping or handling costs (if any) are non-refundable

4.2 Paid Samples

Refunds for paid samples are not applicable, except:

• If the Seller fails to dispatch the sample
• If the sample supplied is materially different from what was agreed

Quality dissatisfaction alone does not qualify for a refund.

5. Bulk Orders & Trade Supply

• Bulk orders are governed by commercial B2B principles
• No refund is applicable for:
  • Change of mind
  • Commercial losses
  • Unsold inventory
  • Market or regulatory changes after delivery

Any disputes must be raised before escrow release.

6. Consultation, Technical Assistance & Services

Payments made for:

• Custom formulation design
• Technical assistance
• Process coordination
• Third-party liaison services
• Digital promotion or cross-branding

7. Promotional Campaigns & Sampling Campaigns

• Fees paid for promotional campaigns, sampling drives, or branding activities are non-refundable
• Visibility, leads, or commercial success are not guaranteed

8. Cancellation Policy

8.1 Buyer-Initiated Cancellation

• Allowed only before dispatch
• Subject to Seller approval
• Escrow refund possible if cancellation is mutually agreed

8.2 Seller-Initiated Cancellation

• Seller must provide a valid reason
• Escrow amount may be refunded to Buyer
• Repeated cancellations may lead to account suspension

9. Dispute Resolution & Refund Processing

• All refund-related disputes must be raised within the escrow dispute window
• 3pmCIRCLE acts only as a neutral facilitator
• Final refund decisions depend on:
  • Escrow terms
  • Evidence submitted
  • Platform policies

10. No Cash Refunds

• Refunds are processed only to the original payment source
• No cash, cheque, or alternative-mode refunds

This Refund Policy shall be governed by Indian laws. All disputes shall be subject to exclusive jurisdiction of courts at Jamnagar, Gujarat, India, in alignment with the Terms of Use.

13. Policy Updates

3pmCIRCLE or SUN CONSULTATION reserves the right to modify this Refund Policy at any time. Continued use of the Platform constitutes acceptance of the updated policy.
