Terms of Use — 3pmCIRCLE

3pmCIRCLE (a brand of Sun Consultation) provides an B2B online marketplace connecting Ayurvedic doctors and entrepreneurs ("Buyers") with Ayurvedic manufacturers and marketers ("Sellers"). By accessing or using the 3pmCIRCLE website and services (the "Platform"), you agree to these Terms of Use (the "Terms") and the Privacy Policy. These Terms constitute a binding legal agreement between you and Sun Consultation under Indian law. Your use of the Platform indicates your acceptance of these Terms. If you do not agree, you must not use the Platform.

We may amend these Terms at any time. We will notify users of material changes via email or platform notices. Continued use of the Platform after changes means you accept the revised Terms.

Eligible Users and Accounts

• Eligibility: The Platform is intended for lawful users only. You represent that you are legally competent to contract under the Indian Contract Act, 1872 (i.e. at least 18 years old and of sound mind). We may refuse service or close accounts of any user who cannot legally form a contract or violates these eligibility terms.
• Medicinal Practitioner: Only Medical Practitioner not only restricted to Ayurvedic but any who had registration under medicinal council of India & who have rights to use medicines for treatment of patients.
• Entrepreneur: Any who wants to scout products and proceed for third party is eligible.
• Manufacturer: AYUSH License holder only
• Marketer: Any marketer who have registered Ayurvedic products and FSSAI products.
• Account Registration: To use most features, you must register for an account and provide accurate, current information. You agree not to impersonate others or create multiple accounts. You are responsible for keeping your password and account secure. If your registration data or credentials are ever compromised, you agree to notify us immediately. You are responsible for all activity on your account. We may suspend or terminate your account and access if we suspect unauthorized use or breach of these Terms.

Membership Levels

We offer two membership tiers:

• Basic Membership (Free) were all services details mentioned at the time of registration.
• Premium Membership (Paid): Requires payment of a subscription fee and provides enhanced services. Premium membership fees are charged on the annually basis and will automatically renew until you cancel. You can cancel before the next billing date to avoid renewal charges. No refunds will be given for unused portions of a paid period. All fees are non-refundable, and Sun Consultation may change pricing or membership terms at its discretion with notice.

Platform Services

3pmCIRCLE provides an online platform where registered Buyers and Sellers can interact. Available features include (depending on your role and membership):

• Product Browsing & Trading: Buyers (Ayurvedic doctors and entrepreneurs) can explore a catalog of verified Ayurvedic products. Only Ayurvedic doctors may place bulk orders or samples at exclusive rate benefit, subject to product availability and seller terms. Were Entrepreneurs can ask for samples (Free/Paid) or use escrow facility, Entrepreneurs can not place bulk orders. Sellers (Ayurvedic manufacturers and product providers) can list products (both classical and proprietary formulations) as membership-wise limit prescribed. Sellers may also offer free or paid samples of listed products. Here, buyers can request samples before bulk purchases. Any product which required to follow regulation like Schedule E, or any amendment made by Food & Drug Administration local or nation-wise need to be follow by seller and heading all responsibility, 3pmCIRCLE or SUN CONSULTATION is not liable for unauthorized business.
• Sample Requests & Reviews: Buyers may request product samples through the Platform; sellers may fulfill them on their own terms. Buyers may also submit reviews or feedback on products they have sampled or purchased. All reviews must be genuine and in compliance with content rules below. We do not verify the medical efficacy of products; all product claims are those of the Sellers, and use of any product is at the Buyer's own risk.
• Secure Payments (Escrow Facility): We facilitate payments via a trusted third-party escrow service. Funds paid by a Buyer for an order are held in escrow until the Buyer confirms receipt of the products. Only then are funds released to the Seller. While in escrow, funds are securely held by the SUN CONSULTATION. You agree to abide by any additional terms of the escrow service. All transactions through the escrow are subject to applicable laws (for example, only lawful products and transactions are permitted). Any disputes concerning escrow payments must be handled according to the SUN CONSULTATION's procedures and these Terms.
• Custom Formulation Tools: Qualified Ayurvedic doctors with Premium membership may only use the Platform's proprietary tools for custom formulation design and project opportunities. Only Premium Sellers may propose quotation for these projects to Buyers. Any such projects involve separate agreements between the parties; 3pmCIRCLE is not a party to those agreements, SUN CONUSULTATION will handle it separately.
• Third-Party Liaison & Agreements: We may offer services to connect users for co-development, private labeling, or third-party business arrangements. Any agreements or contracts reached between Buyers and Sellers (or other third parties) are solely between those parties. We provide liaison support but do not enforce contracts on your behalf. You acknowledge that 3pmCIRCLE (Sun Consultation) is not responsible for the performance of any third-party contract or the terms thereof.
• Process Coordination & Support: We assist with coordinating orders, logistics, compliance (e.g. FSSAI/ labeling for Ayurvedic products), and other procedural matters to facilitate the transactions. Such assistance is provided as a service and does not override the contract between Buyer and Seller. We do not guarantee any specific outcome or performance beyond the scope of our coordination.
• Community & Educational Features: Users (especially doctors and entrepreneurs) may participate in webinars, workshops, and forums organized through 3pmCIRCLE. We provide access to these community events and technical assistance related to Ayurvedic products and business development. Participation is at your own risk, and 3pmCIRCLE does not endorse any medical advice or content shared by users in community channels.
• Communication & Messaging: The Platform may include messaging or forum features to facilitate buyer-seller communication. All messages should comply with our content rules (see below). Users must not use these channels to spam, harass, or send illegal content.

User Conduct and Prohibited Uses

By using the Platform, you agree to act lawfully and responsibly. Prohibited conduct includes (but is not limited to):

• Illegal Activity: Any transaction or listing involving illegal, controlled, or restricted items is forbidden. This includes counterfeit goods, illicit drugs, unlawful medical claims, or any product/service illegal under applicable law. As noted in escrow service rules, only lawful merchandise and services are allowed.
• Fraud and Misrepresentation: You must not engage in fraudulent activities, schemes, or mislead other users. All product descriptions, pricing, and sample information must be accurate. Sellers must not post fake products or bait-and-switch listings.
• Interference with Platform: You must not attempt to hack, crawl, or interfere with the Platform's functioning. Automated scraping of data, sending viruses, or denial-of-service attacks are strictly prohibited.
• IP and Content Infringement: Do not upload or post material that infringes another's intellectual property rights. You may not copy, reproduce, republish, transmit, or distribute any content from the Platform (including our or other sellers' material) except as explicitly permitted. This means you cannot take product images, descriptions, or Platform content for your own use outside the Platform. In general, all website content (text, graphics, logos) is protected, and unauthorized use is prohibited. If you believe someone has infringed your IP rights on the Platform, you must notify us immediately so we can investigate.
• Privacy and Personal Data: You must not post or solicit another person's private information without permission. Violations may result in account termination.
• Harassment and Abuse: Abusive, harassing, or defamatory language toward other users, staff, or third parties is not allowed. You must not threaten or attack anyone or violate their privacy.
• Spam and Advertising: You may not use the Platform to send unsolicited commercial messages. Advertising or promoting any third-party site or product without permission is prohibited.

Users who violate these rules may have their content removed, accounts suspended or terminated at 3pmCIRCLE's discretion.

Intellectual Property

All content on the Platform, including text, images, logos, software and data, is the intellectual property of Sun Consultation, 3pmCIRCLE, or licensed parties. You may not use our content except as expressly authorized. You may download or print material only for personal, non-commercial use and must keep all copyright and trademark notices intact.

By submitting any content (such as product reviews or user profile information), you grant Sun Consultation a perpetual, royalty-free, worldwide license to use, reproduce, and display that content on the Platform and in related marketing. You represent that you have all rights needed to grant this license.

3pmCIRCLE respects others' IP rights. If you believe your trademark or copyright has been infringed, you should notify us so we can remove the offending content. We will act on valid infringement notices and may remove content or suspend accounts as required by law.

Payments and Escrow

All transactions on the Platform are conducted in Indian Rupees (INR) unless otherwise stated. Payment for products or services ordered through 3pmCIRCLE is handled via our in-house appointed escrow agent. The Buyer places funds into the escrow account; these funds remain with the escrow agent until the Buyer confirms satisfactory delivery of the products, at which point the funds are released to the Seller.

• Escrow Terms: You agree to abide by any additional terms and instructions of the escrow service, including completing "Escrow Instructions" for each transaction. If you fail to follow escrow instructions, Sun Consultation and the escrow agent may limit or cancel the transaction. We are not responsible for failures or delays caused by the escrow agent or your financial institutions.
• Lawful Transactions Only: The escrow facility may only be used for lawful merchandise and services. We reserve the right to decline or void any transaction that appears illegal, fraudulent, or in violation of any law or regulation. SUN CONSULTATION or 3pmCIRCLE is not liable to pay any interest or amount when safeguarding amount during fair business agreement.
• Fees and Charges: Transaction fees (including escrow fees, payment processing fees, shipping or inspection fees) may apply. Any such fees will be disclosed before checkout/agreement and paid by the designated party. Escrow service fees are non-refundable once paid. For Buyer fees will be deducted when they deposit amount for service and for Seller fees will be deducted from last payout.
• Disputes: If a dispute arises over an escrow transaction, you and the other party must cooperate in a timely manner. Any claims or charges to recover funds from escrow will be handled as per the escrow agreement. 3pmCIRCLE is not liable for any disputes or losses in escrow transactions; such issues are between the Buyer, Seller and escrow agent.

Third-Party Content and Links

The Platform may contain links to third-party websites, advertisements, or services (including social media). We do not endorse or guarantee any third-party offerings. Users agree that clicking on external links or engaging with advertisers is at their own risk. As one terms example notes: "Any disputes or matters between you and the advertiser have to be solved between you and the advertiser, and we are not liable for any reason". Similarly, if you use a third-party service (e.g. payment gateway, fulfillment service) in connection with a 3pmCIRCLE transaction, you do so under that provider's terms, not under this agreement. Sun Consultation disclaims any liability for third-party services or content.

Disclaimer of Warranties

To the fullest extent permitted by law, Sun Consultation and its affiliates disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement and any warranties arising from course of dealing. We do not warrant that any information on the Platform is complete or up-to-date. Buyers are responsible for independently verifying any product claims or certifications.

We expressly disclaim all implied warranties. You must not rely on any statement made by 3pmCIRCLE or its representatives unless it is confirmed in writing.

Limitation of Liability

Our total aggregate liability for any claim arising from or related to the Platform is strictly limited to the amount you actually paid to us for the relevant service (if any). This limitation applies to all causes of action, whether in contract, tort or otherwise, and is the maximum extent permitted by law. Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages; in such cases, liability is limited to the fullest extent allowed by law.

Indemnification

You agree to indemnify and hold harmless Sun Consultation, 3pmCIRCLE, and our affiliates, officers, directors and employees from and against all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms; (b) your violation of any law or third-party right (including intellectual property, privacy or publicity rights); (c) your use of the Platform; or (d) any content you post on the Platform. In other words, if a third party sues us or incurs any expense because of your actions or content, you will reimburse us.

The Indian Contract Act (1872) acknowledges indemnity as a contract where one party promises to protect the other from losses. Consistent with that, we require you to indemnify us.

Termination

We reserve the right to terminate or suspend your access to the Platform, in whole or in part, at any time and for any reason, including for breach of these Terms or for any unlawful or unethical conduct. If your account is terminated, you may lose access to the Platform and any remaining benefits; no refunds will be provided unless required by law. All provisions of these Terms which by their nature should survive termination (such as intellectual property, disclaimers, indemnification, limitation of liability, and governing law clauses) will survive.

Miscellaneous

• Relationship: Nothing in these Terms creates an employer-employee, partnership, joint venture or agency relationship between you and Sun Consultation. Neither party has authority to bind the other by contract.
• Entire Agreement: These Terms (together with our Privacy Policy and any additional terms, policies or guidelines posted on the Platform) constitute the entire agreement between you and Sun Consultation regarding the Platform. They supersede all prior agreements or understandings, whether written or oral.
• Severability: If any provision of these Terms is held invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision in these Terms shall not constitute a waiver of that right or provision.
• Export and Import: You agree not to use the Platform or any content in violation of applicable export or import laws (e.g. laws restricting the shipment of drugs or controlled substances).
• Contact: For any questions or notices under these Terms, you may contact Sun Consultation through the Platform's support channel or at our registered office. (Our office for legal notices is in Jamnagar, Gujarat, India.)

Governing Law and Dispute Resolution

These Terms and any dispute arising under or related to them shall be governed by the laws of India without regard to conflict-of-law principles. You and Sun Consultation irrevocably submit to the exclusive jurisdiction of the courts in Jamnagar, Gujarat, India. That means any legal action must be filed in a court located in Jamnagar, Gujarat. This jurisdiction clause is intended to exclude other courts to the extent permitted by law.
